  1. BY CLICKING ON THE YES BUTTON
  2. BELOW, YOU ARE CONSENTING TO
  3. BE BOUND BY THIS AGREEMENT.
  4. IF YOU DO NOT AGREE TO ALL OF
  5. THE TERMS OF THIS AGREEMENT,
  6. CLICK THE NO BUTTON AND
  7. IMMEDIATELY RETURN THE UNUSED
  8. PRODUCT WITH A COPY OF YOUR
  9. RECEIPT TO BACKWEB
  10. TECHNOLOGIES AT THE ADDRESS
  11. SET FORTH BELOW FOR A FULL
  12. REFUND OF MONIES PAID, IF ANY.

  14. I GRANT 
  15.  
  16. BackWeb Technologies ("BackWeb") hereby grants
  17. to the end user person or entity ("Licensee") a
  18. non-exclusive license to use the accompanying
  19. software product(s), in machine executable
  20. object code form (the "Software") subject to
  21. the terms and conditions set forth below.
  22. LICENSEE MAY use the Software on any single
  23. computer; use the Software on a second computer
  24. so long as the primary user of each copy is the
  25. same person and more than one copy is not
  26. running simultaneously on a second computer;
  27. and copy the Software for archival purposes,
  28. provided any copy must contain all of the
  29. original Software's proprietary notices.
  30. LICENSEE MAY NOT permit other individuals to
  31. use the Software except under the terms listed
  32. above; modify, translate, reverse engineer,
  33. decompile, disassemble (except to the extent
  34. applicable laws specifically prohibit such
  35. restriction), or create derivative works based
  36. on the Software; copy the Software (except as
  37. specified above); export, directly or
  38. indirectly, the Software to any person or
  39. entity outside the United States except as
  40. provided in paragraph 6 below; rent, lease,
  41. transfer or otherwise transfer rights to the
  42. Software; or remove any proprietary notices or
  43. labels on the Software.
  44.  
  45. II      LIMITED MEDIA WARRANTY
  46.  
  47. BackWeb warrants that, for a period of thirty
  48. (30) days from the date of delivery to Licensee
  49. as evidenced by a copy of Licensee's receipt,
  50. the media, if any, on which the Software is
  51. furnished shall be free from defects in
  52. materials and workmanship under normal use.
  53. THE SOLE RESPONSIBILITY AND
  54. LIABILITY OF BACKWEB, AND
  55. LICENSEE'S EXCLUSIVE REMEDY
  56. UNDER THIS LIMITED WARRANTY
  57. WILL BE REPLACEMENT OF THE
  58. DEFECTIVE MEDIA.  DISCLAIMER
  59. OF WARRANTIES.
  60. Except for the express limited
  61. media warranty stated above, Licensee expressly
  62. acknowledges and agrees that use of the
  63. Software is at Licensees sole risk.
  64. THE SOFTWARE IS PROVIDED "AS IS"
  65. AND WITHOUT WARRANTY OF ANY
  66. KIND.  BACKWEB AND ITS
  67. LICENSORS AND SUPPLIERS MAKE
  68. NO WARRANTIES OR CONDITIONS,
  69. EXPRESS OR IMPLIED, INCLUDING
  70. WITHOUT LIMITATION THE
  71. IMPLIED WARRANTIES OR
  72. CONDITIONS OF
  73. MERCHANTABILITY, FITNESS FOR
  74. A PARTICULAR PURPOSE, AND
  75. NONINFRINGEMENT, REGARDING
  76. THE SOFTWARE.  NEITHER
  77. BACKWEB NOR ITS LICENSORS OR
  78. SUPPLIERS WARRANT, GUARANTEE
  79. OR MAKE ANY REPRESENTATIONS
  80. REGARDING THE USE OR THE
  81. RESULTS OF THE USE OF THE
  82. SOFTWARE IN TERMS OF ITS
  83. CORRECTNESS, ACCURACY,
  84. RELIABILITY, OR CURRENTNESS
  85. OR THAT THE OPERATION OF THE
  86. SOFTWARE WILL BE
  87. UNINTERRUPTED OR ERROR FREE.
  88. THE ENTIRE RISK AS TO THE
  89. RESULTS AND PERFORMANCE OF
  90. THE SOFTWARE IS ASSUMED BY
  91. LICENSEE, INCLUDING WITHOUT
  92. LIMITATION ANY RISK OF THE
  93. INTRODUCTION OF COMPUTER
  94. VIRUSES AND ANY RISK ARISING
  95. OUT OF ANY CONTENT
  96. TRANSMITTED OR RECEIVED IN
  97. CONNECTION WITH THE USE OF
  98. THE SOFTWARE.  THE EXCLUSION
  99. OF IMPLIED WARRANTIES IS NOT
  100. PERMITTED BY SOME STATES OR
  101. OTHER JURISDICTIONS AND
  102. THEREFORE THE ABOVE EXCLUSION
  103. MAY NOT APPLY TO LICENSEE.
  104. THIS WARRANTY GIVES LICENSEE
  105. SPECIFIC RIGHTS AND LICENSEE
  106. MAY ALSO HAVE OTHER RIGHTS
  107. WHICH MAY VARY FROM STATE TO
  108. STATE AND JURISDICTION TO
  109. JURISDICTION.
  110.  
  111. III     LIMITATION OF LIABILITY
  112.  
  113. BackWeb's liability to Licensee or any third
  114. party arising out of or related to this
  115. Agreement however caused and on any theory of
  116. liability, whether in contract, tort (including
  117. negligence), or otherwise will not exceed the
  118. fee, if any, paid by Licensee for the Software.
  119. The Software is not specifically developed or
  120. licensed for use in any nuclear, aviation, mass
  121. transit, or medical application or any other
  122. inherently dangerous applications. 
  123. NEITHER BACKWEB NOR ITS
  124. LICENSORS OR SUPPLIERS SHALL
  125. BE LIABLE FOR ANY CLAIMS OR
  126. DAMAGES ARISING FROM SUCH USE
  127. OF THE SOFTWARE.  IN NO EVENT
  128. WILL BACKWEB OR ITS LICENSORS
  129. OR SUPPLIERS BE LIABLE TO
  130. LICENSEE OR ANY THIRD PARTY
  131. FOR ANY INDIRECT, SPECIAL,
  132. INCIDENTAL, OR CONSEQUENTIAL
  133. DAMAGES (INCLUDING DAMAGES
  134. FOR COST OF OBTAINING
  135. SUBSTITUTE GOODS, LOSS OF
  136. BUSINESS PROFITS, BUSINESS
  137. INTERRUPTION, LOSS OF DATA
  138. AND EQUIPMENT, AND OTHER SUCH
  139. DAMAGE OR LOSS), HOWEVER
  140. CAUSED (INCLUDING WITHOUT
  141. LIMITATION ANY LOSS CAUSED BY
  142. THE INTRODUCTION OF COMPUTER
  143. VIRUSES OR CONTENT
  144. TRANSMITTED OR RECEIVED IN
  145. CONNECTION WITH THE USE OF
  146. THE SOFTWARE) AND ON ANY
  147. THEORY OF LIABILITY, WHETHER
  148. BASED IN TORT (INCLUDING
  149. NEGLIGENCE), CONTRACT, OR
  150. OTHERWISE, EVEN IF BACKWEB,
  151. OR ITS LICENSORS, SUPPLIERS
  152. OR AUTHORIZED DEALERS HAVE
  153. BEEN ADVISED OF THE
  154. POSSIBILITY OF SUCH DAMAGES.
  155. LICENSEE ACKNOWLEDGES THAT
  156. THE LICENSE FEE, IF ANY,
  157. REFLECTS THIS ALLOCATION OF
  158. RISK.  BECAUSE SOME STATES OR
  159. OHTER JURISDICTIONS DO NOT
  160. ALLOW THE EXCLUSION OR
  161. LIMITATION OF LIABILITY FOR
  162. CONSEQUENTIAL OR INCIDENTAL
  163. DAMAGES, THE ABOVE
  164. LIMITATIONS OR EXCLUSIONS MAY
  165. NOT APPLY TO LICENSEE.
  166.  
  167. IV      TITLE
  168.  
  169. Title, ownership rights, and intellectual
  170. property rights in and to the Software shall
  171. remain in BackWeb and/or its licensors and
  172. suppliers.  The Software is protected by the
  173. copyright laws of the United States and
  174. international copyright treaties. Title,
  175. ownership rights, and intellectual property
  176. rights in and to the content accessed through
  177. the Software is the property of the applicable
  178. content owner and may be protected by
  179. applicable copyright or other law.  This
  180. Agreement gives Licensee no rights to such
  181. content.  Except as expressly provided herein,
  182. all right, title and interest in and to the
  183. Software remains with BackWeb and its licensors
  184. and suppliers.
  185.  
  186. V       TERMINATION
  187.  
  188. The Agreement, including all of Licensee's
  189. right to use the Software, will terminate
  190. automatically and immediately if Licensee fails
  191. to comply with the limitations described above.
  192. Upon termination, Licensee must immediately
  193. stop using the Software and Licensee must
  194. return to BackWeb or destroy all copies of the
  195. Software.
  196.  
  197. VI      EXPORT LAW ASSURANCES
  198.  
  199. Licensee agrees not to export the Software
  200. outside of the United States except as
  201. permitted by the laws and regulations of the
  202. United States.  If Licensee has rightfully
  203. obtained the Software outside of the United
  204. Sates, Licensee agrees not to re-export the
  205. Software except as permitted by the laws and
  206. regulations of the United States and the laws
  207. and regulations of the jurisdiction in which
  208. Licensee obtained the Software.
  209.  
  210. VII     GOVERNMENT RESTRICTED RIGHTS LEGEND
  211.  
  212. If Licensee is acquiring the Software on behalf
  213. of any part of the United States Government,
  214. the following provisions apply.  The Software
  215. and accompanying documentation are deemed to be
  216. "commercial computer software" and "commercial
  217. computer software documentation", respectively,
  218. pursuant to DFAR Section 227.7202 and FAR
  219. 12.212(b), as applicable.  Any use,
  220. modification, reproduction, release,
  221. performance, display or disclosure of the
  222. Software and/or the accompanying documentation
  223. by the U.S. Government or any of its agencies
  224. shall be governed solely by the terms of this
  225. Agreement and shall be prohibited except to the
  226. extent expressly permitted by the terms of this
  227. Agreement.

  234. VIII    MISCELLANEOUS
  235.  
  236. This Agreement represents the complete
  237. agreement between Licensee and BackWeb
  238. concerning the subject matter hereof and
  239. supersedes all prior agreements and
  240. representations between them.  It may be
  241. amended only by a writing executed by both
  242. parties.  THE ACCEPTANCE OF ANY PURCHASE ORDER
  243. PLACED BY LICENSEE IS EXPRESSLY MADE
  244. CONDITIONAL ON LICENSEE'S ASSENT TO THE TERMS
  245. SET FORTH HEREIN, AND NOT THOSE CONTAINED IN
  246. LICENSEE'S PURCHASE ORDER.  If any provision of
  247. this Agreement is held to be unenforceable for
  248. any reason, such provision shall be reformed
  249. only to the extent necessary to make it
  250. enforceable.  This Agreement cannot be amended,
  251. modified, or waived, unless the change is
  252. written and signed by an authorized BackWeb
  253. representative.  This Agreement is governed by
  254. the laws of the State of California, without
  255. reference to its conflict of law principles.
